Terms of Service

iCOA is operated by Conglomerate Media Group, LLC, a Wyoming company ("we", "us"). These terms cover the iCOA website at www.icoa.io, the iCOA mobile app, every certificate page we publish, and WeMintArt, our art vertical (together, the "Service").

By creating an account, issuing a certificate, claiming one, or otherwise using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the Service.

You must be at least 18 years old and able to enter into a binding contract to hold an account. You may use the Service on behalf of a business, studio, estate or brand; if you do, you confirm you are authorized to bind it, and "you" includes it.

iCOA is a registry of certificates of authenticity issued by makers. A maker, or someone the maker or rights holder has authorized, photographs an item, describes it, attests to it and issues a certificate. The certificate has a public page, a fingerprint of its details and image, a record of ownership, and, once recorded, a record on a public blockchain.

We verify the record, never the item. iCOA confirms that a certificate was issued from a particular account, that its details have not changed since issue, and who currently holds it. We do not inspect, appraise or authenticate any physical item, and we never authenticate an item on anyone's behalf. A certificate is the issuer's statement, not ours.

We make no promise to buyers or anyone else that an item is genuine, that it matches its certificate, or that it has any particular value. If you are buying an item, do your own diligence, as you would without us.

You sign in with a one-time code sent to your email address. There is no password. Anyone with access to your inbox can reach your account, so keep it secure and tell us at support@icoa.io if you think someone else has used it.

Before you can issue a certificate you choose a handle and may add a display name. Both appear on every certificate you issue. Use your real name or the name you actually work under. You are responsible for everything done through your account.

To issue a certificate you must confirm the following statement:

"I made this item, or I am authorized by its maker or rights holder to certify it."

That attestation is yours. We record the time you made it and show it, together with your name and handle, on the certificate page. You are responsible for it being true, and for the accuracy of every detail on the certificate: the title, the story, the year, the edition, the materials, the serial number, and anything else you enter.

Once a certificate is issued its details are frozen and fingerprinted. You cannot edit them afterwards, and neither can we without leaving a visible mismatch on the page. Check your draft before you issue it.

You may not use the Service to:

• certify an item you did not make and are not authorized by its maker or rights holder to certify;
• certify a counterfeit, a forgery, a replica presented as an original, or stolen goods;
• impersonate any person, brand, studio or estate, or use a handle or display name that suggests an affiliation you do not have;
• upload an image you do not have the right to use, or that infringes anyone else's rights;
• enter details you know to be false, or describe an item in a way designed to mislead a buyer;
• send transfer links to people who have not agreed to receive them, or use the Service to send spam;
• interfere with the Service, probe it for weaknesses, scrape it at scale, or use it to break any law.

We may suspend or close an account that breaks these rules, and we may revoke certificates issued from it, without refunding fees paid.

If you believe a certificate is false, infringes your rights, or breaks these terms, write to support@icoa.io with the certificate link, who you are, and why. We will look into it, and we may ask the issuer to respond.

Where we find a certificate should not stand, we revoke it. A revoked certificate is marked as revoked in our records, its public page is no longer served, and it can no longer be transferred. Any record already written to the blockchain stays there, because nobody can edit a public blockchain, but the image and personal details it points to are removed from our servers on request.

We decide reports in good faith and in our reasonable judgment. We are not a court and do not decide who owns an item or a copyright; a takedown is not a finding on those questions.

The current holder of a certificate can pass it to a buyer by entering the buyer's email address. We email the buyer a claim link. The link lasts 14 days, after which it expires; the sender can cancel it before then, and only one transfer can be open on a certificate at a time.

To claim, the buyer signs in with the same email address the link was sent to and accepts the certificate. Claiming a certificate means accepting these terms. Once claimed, the buyer is the certificate's holder, their name appears on the certificate page as its current owner, and only they can transfer it on.

A certificate records who holds the certificate. Whether the physical item changes hands, and on what terms, is between the seller and the buyer. We are not a party to that sale, we do not handle payment for it, and we do not ship anything.

Each certificate is recorded on a public blockchain (Base) when it is recorded (see below), as a token that carries the certificate's content fingerprint, a token id and a link to its metadata. That record is public and permanent. The fingerprint, the token id and the minting transaction cannot be changed or deleted, by us or by anyone. We can update only the metadata address the token points at (for example if our domain changes).

The image and any personal details live on our servers, not on the chain, so they can be removed. The chain holds only the fingerprint, the token id and the metadata address; it never holds your email address.

• On the Free plan a certificate is recorded on chain when it is first transferred. Paid plans and credits record it at issue.
• We pay the network fee to record a certificate. If you give us a wallet address, tokens for certificates recorded at issue (paid plans and credits) are sent to it; any fees for moving them out of your wallet later are yours. A certificate recorded at its first transfer goes to our custody wallet on the new holder's behalf.
• Ownership in our records is what the certificate page shows. Until wallets are built into the app, the token may sit in a custody wallet we control on the holder's behalf, and a transfer moves the ownership record rather than the token.
• While the Service is in preview, certificates may be recorded on a test network (Base Sepolia). Test networks can be reset by their operators and their records are not permanent.

Blockchains are run by others. We cannot guarantee that a network will accept a transaction, stay online, or keep its fees stable. If a recording fails, the certificate remains issued in our records and the recording can be retried.

The Free plan includes 3 certificates a calendar month. You can also buy certificate credits, one per certificate, or subscribe to Pro or Studio, which include up to 100 (Pro) or 500 (Studio) certificates a calendar month; if you need more, contact support. Current prices are on the pricing page.

• Payment. On the web, payment is taken by Stripe. Where the iOS app offers subscriptions, they are sold through Apple in-app purchase and managed in your Apple account. We never see or store your card number.
• Credits never expire. While you hold credits, every certificate you issue spends one and is recorded on chain at issue; the free monthly allowance applies only when you hold none. Deleting a draft does not spend a credit.
• Subscriptions renew monthly until cancelled. You can cancel at any time from your billing settings (Stripe) or, for a subscription bought through Apple, from your Apple subscriptions; the plan stays active until the end of the period already paid for and is not renewed after that. Any credits you hold remain usable.
• Refunds. Fees for a period that has already started, and credits that have been spent, are not refundable except where the law requires it. Apple handles refunds for any purchase made through Apple. If something went wrong with a purchase, write to support@icoa.io and we will put it right.
• Price changes. We may change prices for future periods. We will tell subscribers before a change takes effect, and you can cancel before it does.

You can delete your account at any time from Settings on the web or in the app. When you do, your profile, drafts and draft files are deleted, and any transfer you had open is cancelled. We cancel any Stripe subscription. A subscription bought through Apple is managed by Apple and is not cancelled when you delete your account: cancel it yourself in your Apple ID settings (Settings > Apple ID > Subscriptions), before or after you delete.

Certificates you have already issued are not yours alone: someone may hold one as proof of what they bought. They remain, showing your name as it was when you left, marked "account closed", with their images. Nobody can transfer a certificate you were still holding when you deleted your account. Records already on the blockchain stay there.

You keep every right in your work and in the photos and text you upload. Issuing a certificate does not transfer copyright in the item, and holding a certificate does not grant the holder any copyright in it.

So that we can run the Service, you grant us a worldwide, non-exclusive, royalty-free licence to store, copy, resize and display the images and text on a certificate for as long as the certificate exists: on its public page, in its printable version, in the token metadata, in link previews, and in transfer emails. You also allow the certificate's holder to share its page. We do not use your images to advertise the Service without asking you.

The Service, its name, logos, seal, design and code belong to us or our licensors. These terms do not give you any right to use the iCOA or WeMintArt names or marks except to say that a certificate was issued through the Service.

We are glad to hear feedback, but please do not send us confidential ideas. Anything you suggest to us we may use freely, without any obligation to you.

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted or error free.

In particular, we make no representation about the authenticity, provenance, condition, legality, ownership or value of any item a certificate describes, or about the truth of any issuer's attestation. Certificates are issued by their issuers, and issuers are responsible for them.

To the fullest extent the law allows, neither we nor our owners, employees or suppliers are liable for any indirect, incidental, special, consequential or exemplary damages, or for lost profits, lost goodwill, lost data or the cost of substitute services, arising out of or connected with the Service, any certificate, any item a certificate describes, or any blockchain, however caused and under any theory of liability.

Our total liability to you for all claims arising from the Service is limited to the greater of the amount you paid us in the twelve months before the claim arose and one hundred US dollars.

Some jurisdictions do not allow these limits, in which case they apply as far as the law permits.

You will defend, indemnify and hold us harmless from any claim, loss or expense (including reasonable legal fees) arising from a certificate you issued, an attestation you made, content you uploaded, an item you sold, or your breach of these terms or of any law.

These terms are governed by the laws of the State of Wyoming and the United States, without regard to conflict-of-law rules. Any dispute that cannot be resolved between us will be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

If any part of these terms is found unenforceable, the rest remains in force. Our failure to enforce a term is not a waiver of it. These terms are the whole agreement between us about the Service and replace any earlier terms.

We may update these terms. When we do, we will post the new version at this address with a new effective date and, for changes that matter, tell account holders by email or in the app before they take effect. Using the Service after a change means you accept it; if you do not, stop using the Service and delete your account. We may also change or discontinue any part of the Service; if we discontinue it, we will keep public certificate pages available for a reasonable time so that holders can save their records.
